Allcargo to demerge International Supply Chain into Allcargo Global; domestic logistics consolidated under Allcargo Logistics.

Allcargo Logistics Limited, India’s leading integrated logistics solutions provider, has received approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for its Composite Scheme of Arrangement under Sections 230–232 of the Companies Act, 2013. This approval finalises the legal process for restructuring Allcargo’s domestic and international businesses.
Under the scheme, the International Supply Chain business will be demerged into a new listed entity, Allcargo Global, while the domestic express and contract logistics business will be consolidated under Allcargo Logistics, the existing listed company. The restructuring allows both units to operate independently with focused strategies, dedicated management, and optimised capital allocation.
Shareholders of Allcargo Logistics will receive 1 share each in Allcargo Global on a 1:1 basis while retaining shares in Allcargo Logistics. Shareholders of Allcargo Gati will receive 63 shares of Allcargo Logistics Limited for every 10 shares held. Record dates will be announced in the coming weeks.

With NCLT approval, Allcargo will now file the sanctioned scheme with the Registrar of Companies and initiate steps for record dates, share allotment, and listing of the demerged entity. Post-restructuring, Allcargo Group will have four listed strategic business undertakings:
- Allcargo Global – International Supply Chain business
- Allcargo Logistics (post-demerger) – Domestic logistics
- Allcargo Terminals – CFS/ICD operations
- TransIndia Real Estate – Real estate operations
This milestone concludes the four-year strategic reorganisation plan, positioning Allcargo for focused growth, enhanced shareholder value, and streamlined operations.
